Terms of Service

Last Updated: October 2026

Welcome to Teach Me Maths (https://teachmemaths.co.nz), operated by Teach Me Maths Limited. By accessing or using our website, platform, interactive tools, and related educational services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing or using the Service on behalf of a school, educational institution, or commercial entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Description of Service

Teach Me Maths provides web-based mathematics learning software, interactive exercises, step-by-step worked solutions, diagnostic assessment tools, and teacher reporting dashboards designed primarily for secondary schools in New Zealand. The Service is made available through both a free tier for individual users and licensed subscription tiers for educational institutions.

2. User Accounts, Authentication & School Subscriptions

Sign-in: Users access the Service by signing in with Google (OAuth 2.0) or with an email address and password. You are responsible for maintaining the confidentiality of your account credentials and device access.

Individual & Free Accounts: Individual users (including students and teachers) may sign up for a free account to access designated free content tiers.

School Licensing & Access: Subscribing schools receive elevated access privileges (e.g., premium content tiers and school reporting dashboards). Subscribing schools are responsible for ensuring that only authorized staff and enrolled students are granted access under their institutional license.

Student Accounts & Parental Consent: Subscribing schools act in loco parentis and assume sole responsibility for complying with parental notification or consent requirements under their internal policies prior to authorizing students under the age of 16 to create accounts or use the Service. Teach Me Maths does not knowingly collect personal information directly from students under the age of 16 without school authorisation.

Account Security: Users and subscribing institutions must notify Teach Me Maths immediately if they suspect unauthorized access or security breaches involving their accounts.

3. Acceptable Use & Anti-Scraping

You agree to use the Service solely for legitimate educational purposes. You expressly agree not to:

  • Attempt to reverse-engineer, decompile, disassemble, or copy any software components, question-generation engines, interactive widgets, or underlying algorithms of the Service.
  • Use automated scripts, bots, scrapers, data-mining tools, or manual extraction methods to harvest exercise sets, worked solutions, diagnostic frameworks, media assets, or code for commercial or competitive purposes.
  • Bypass access control measures (such as ContentTier restrictions) or attempt to view student data, class metrics, or administrative controls outside your authorized organization.
  • Share teacher account credentials across multiple individuals or sell, resell, or sublicense access to the Service.

4. Intellectual Property

All content, design elements, interactive exercises, question engines, step-by-step worked solutions, code, logos, and trademarks associated with Teach Me Maths are the exclusive intellectual property of Teach Me Maths or its licensors. Users and subscribing schools are granted a non-exclusive, non-transferable, revocable license to access and use the platform solely for educational, non-commercial purposes during an active subscription or trial period.

5. Subscriptions, Fees, and Cancellations

Signed School Agreements: If your school has signed a Teach Me Maths Order Form, the Subscription Terms and School Data Agreement in that agreement take priority over these Terms wherever they differ.

Pricing & Invoicing: Access to paid institutional features is subject to the pricing structure agreed upon during onboarding, online checkout, or invoice issuance. Pricing is determined in accordance with Schedule 1 of these Terms. All prices are in New Zealand Dollars (NZD) and exclude GST unless explicitly stated otherwise.

Payment Terms: Payment terms for institutional subscriptions are specified on the applicable invoice or agreement.

Term, Renewal & Cancellation: A school licence runs for the school year stated on the Order Form and cannot be cancelled once signed. It then renews automatically for one school year at a time, at the same number of seats, unless the school or Teach Me Maths gives written notice (email is enough) by 30 November. We send a renewal notice by 1 November each year. Free trials may be ended at any time by contacting support.

Suspension: Teach Me Maths reserves the right to suspend or terminate accounts that breach these Terms, misuse the platform, or fail to pay applicable subscription fees when due.

6. Data Ownership, Security & Privacy

Data Ownership: Subscribing schools retain full ownership of all student personal data, performance metrics, assessment records, and class data submitted to or generated on the platform.

Data Hosting & Cross-Border Transfer: Personal data collected through the Service is stored and processed on servers located in the United States, hosted by our platform provider (Base44, Inc.). By using the Service, you acknowledge that your personal data, including student data, will be transferred to and processed in the United States. Teach Me Maths takes reasonable steps to ensure that cross-border data transfers are subject to appropriate safeguards consistent with the requirements of the New Zealand Privacy Act 2020.

Privacy Compliance: Our collection, storage, use, and retention of personal data are governed by our Privacy Policy, which complies with the New Zealand Privacy Act 2020.

Data Incident Notification: In the event of a confirmed security incident or data breach impacting personal information held by Teach Me Maths, we will notify the designated contact of affected subscribing institutions without undue delay to enable compliance with statutory reporting obligations under the Privacy Act 2020.

Data Deletion: Upon contract termination, account cancellation, or written request from an authorized school administrator, student records will be removed from active databases in accordance with our Privacy Policy data retention schedule.

7. Disclaimers and Limitation of Liability

"As-Is" Basis: The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including performance, uninterrupted availability, or fitness for a particular purpose. While we strive for mathematical accuracy, Teach Me Maths does not warrant that the platform will be completely error-free.

Limitation of Liability: To the maximum extent permitted by New Zealand law, Teach Me Maths shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use or inability to use the Service. Our total aggregate liability in any licence year shall not exceed the fees paid by you or your institution to Teach Me Maths for that licence year.

8. Changes to These Terms

We may update these Terms from time to time to reflect platform enhancements, operational changes, or legal obligations. We will notify users and subscribing schools of significant updates via email or through a prominent notice on the Service. Continued use of the platform following any changes constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Schedule 1 — Seat-Based Pricing Methodology

1. Seat Count Basis. A school's subscription price is determined by the number of student seats purchased — the number of students who will use the Service — rather than the school's total roll. A minimum base licence of 60 seats applies to all institutional subscriptions.

2. Progressive Sliding Scale. Seats are priced on a progressive per-student sliding scale: each volume band carries its own per-seat rate, which decreases as seat volume increases, and the applicable rate applies only to the seats within that band. Current rates and volume bands are available on request and are confirmed in the applicable quote, invoice, or licence agreement at the time of subscription.

3. Free Buffer Seats. Each licence includes free buffer seats (10% of paid seats, rounded up, up to 15) for students who join during the year, at no extra charge. Buffer seats in use on 1 October are added to the paid seat number for the following licence year, and this is shown in the renewal notice.

4. Seats During the Year. The price for the purchased seats is fixed for the licence term. A school may add seats at any time during the term; additional seats are charged at the rate for the next pricing band (including any founding discount that applies) for the full licence year, with no part-year pricing. Seat counts carry over at renewal unless the school changes them before the new licence year starts.

5. Dispute Resolution. If a school disputes the seat count or price stated on an invoice or licence agreement, the school may notify Teach Me Maths in writing within 30 days of issuance. Teach Me Maths shall verify the figure against the agreed quote and adjust prospectively from the next billing cycle where an error is confirmed; no retrospective charges or refunds shall apply.

6. New Schools. Schools without confirmed enrolment figures may purchase seats based on their own enrolment estimate or projection, as provided by the school. The seat count shall be confirmed at the next license renewal.

7. Promotional Rates. Promotional rates (including founding rates offered for early commitment to a subscription year) apply as stated in the applicable quote or invoice.
